General Conditions of Contract

1. AREA OF APPLICATION

1.1. These General Contract Conditions regulate the services provided by Payflow Digital Inc Branch in Spain, with NIF W0244173A and registered office at Félix Boix Street 14, 28036, Madrid, registered in the Mercantile Registry of Madrid, sheet M-771179, Volume 43686, Page 70 (hereinafter, “Payflow”) and/or Payflow Europe S.L.U, with NIF B13812607 and registered office at Félix Boix Street 14, 28036, Madrid (hereinafter, “Payflow”).

1.2. These General Contract Conditions will be understood as a set with the Particular Contract Conditions signed between the client (hereinafter, the "Company") and Payflow, as well as the Terms & Conditions (hereinafter, "T&C") accepted by the users in the application.

1.3. The Company and Payflow, hereinafter, may also be referred to jointly as the "Parties" and individually and indistinctly as the "Party".

1.4. Payflow has developed a mobile application called "Payflow" (hereinafter, the "APP"), through which the employees of the Company (hereinafter, the "Employees" or the "Employee") obtain social benefits such as Requests of Liquidity, the Flexible Remuneration Service, the Savings Service, and the Financial Education Service (hereinafter, the "Services").

1.5. That the Company has workers, with whom it maintains an employment relationship subject to the provisions of Royal Legislative Decree 2/2015, of October 23, which approves the revised text of the Workers' Statute Law (hereinafter, the “Workers Statute”) and Law 20/2007, of July 11, on the Self-Employment Statute (hereinafter, the “Self-Employed Law”). In this sense, the Company has self-employed and third-party workers (hereinafter, the "Worker" or "Workers").

2. OBJECT

2.1. Provision of the platform

The purpose of the services provided by Payflow is to make a financial well-being platform available to the Company, which allows the provision of the following services: liquidity provision service (marketed as "Payflow"), flexible remuneration service (marketed as “Flexflow), savings service (marketed as “Saveflow”) and additional services including financial education services (marketed as “Learnflow”).

Payflow and the Company must agree on the services that are effectively provided through the Particular Conditions signed between both parties.

The Company may, during the term of the contractual relationship, expand the services that Payflow provides. In this case, the Parties undertake to sign an Addendum that modifies the particular conditions applicable to the Company.

2.2. Liquidity Provision Service

The purpose of the Liquidity Provision Service is the provision of the Company by Payflow of the necessary liquidity to meet the Liquidity Requests made by the Workers through the APP, in such a way that the amount of the Requests for Liquidity is paid directly by Payflow to the Workers on behalf of the Company, and the Company must subsequently pay Payflow the amount of the Liquidity Requests paid by Payflow to the Workers, in accordance with the provisions of the Contract. The Company will define the liquid amount to be received with monthly due date from the Workers in a control panel provided by Payflow (hereinafter, the "Control Panel"). The Company may update this information at any time through the Control Panel,

2.3. Flexible Remuneration Service

The purpose of the Flexible Remuneration Service consists of the provision by Payflow of a remuneration mechanism that will allow Workers to allocate a part of their gross salary for the purchase of certain products or services. By using the gross salary, the Worker will obtain a tax exemption that will allow him to reduce all or part of the personal income tax to be paid for the purchase of said products or services. In particular, the products or services are:

● Canteen-meals benefit (hereinafter “Meals Benefit”);

● Transportation benefit (hereinafter “Transportation Benefit”);

● Daycare benefit (hereinafter “Daycare Benefit”);

● Training benefit (hereinafter “Training Benefit”);

● Any others that Payflow provides through the platform (individually and indistinctly, the "Benefit" and, jointly, the "Benefits").

The Company will be able to choose which Benefits it wants to provide to its employees through the Control Panel that Payflow makes available to them. Payflow may incorporate additional Benefits or services to be provided through its platform, governed by the provisions of this Agreement.

For the provision of this Service, the Employee, after subscribing to the Flexible Remuneration Service, must sign a document of conformity, with respect to which, he will accept the novation of his labor contract, signed between him and the Company.

Within the framework of the provision of this Service, and in particular, what concerns the benefit of childcare and training, Payflow will try to start up and service, but in the event that the entity that provides the service does not collaborate with Payflow, it must be the Worker who Manage contact with the entity.

2.4. Savings Service

The purpose of the Savings Service consists of the provision by Payflow of a virtual savings account creation service (hereinafter "Savings Account or Accounts") in which Workers can deposit money. A Savings Account is understood to be that software to store, receive and send money, which is supported by a bank account and for the purpose of paying third parties.

Workers may accumulate in Savings Accounts, a proportional part of their salary in order to complete a savings plan. In no case will the money kept in the Savings Accounts generate a return/interest for the Employee.

3. SERVICE OPERATION

3.1. Liquidity Provision Service
3.1.1. Means for the provision of the Liquidity Service

● Provision of the APP

     ○ In order to provide the Service, Payflow will make the APP available to Workers so that they can register and make their Liquidity Requests.

● Payflow Dashboard:

     ○ In order to provide the Service, Payflow will provide the Company with access to a Control Panel through which the Company can manage the Liquidity Provision Service.

3.1.2. Liquidity Requests

Workers may make the Liquidity Request through the APP up to the amount equivalent to the wages earned in the current month for the work carried out in the Company, with the limit of the liquid amount to be received with monthly expiration. For the purposes of the Contract, wages or payroll are considered to be the amounts received by the Worker as agreed economic consideration for the professional exercise of their activity in the Company, regardless of whether the Worker is employed by another, or on their own.

The Company may request that the bonus be included in the amounts available in the App for the Employee to make Liquidity Claims provided they have accrued proportionally. This service may have an additional cost for the Company.

In the case of employees, it is expressly established that the Liquidity Request does not imply the exercise by the Employee of the right recognized for employees in article 29 of the Workers' Statute, approved by Royal Legislative Decree 2/2015 , of October 23, in relation to the possibility of receiving, without the date indicated for payment, advances on account of work already carried out (hereinafter, the "Right to Advance Payroll"), nor does it imply a waiver of the Worker to exercise the Right to Payroll Advance.

Therefore, the worker employed by others may at any time exercise their Right to Advance Payroll, recognized by the Workers' Statute, through the channels established for this purpose by the Company, although they may not request the Company payroll advances for amounts previously received through the Liquidity Provision Service.

Workers may not make Liquidity Requests between the day of the Cut-Off Date and the last day of the month.

3.1.3. How to make Liquidity Requests

If an Employee wishes to make a Liquidity Request, they must (i) download the APP on their mobile, (ii) register in the APP providing the data requested by Payflow and (iii) once the registration process in the APP, direct your Liquidity Requests directly to Payflow through the APP.

In order for the Workers to be able to register in the APP, the Company, or Payflow as a service provider to the Company, they will make available to them, immediately after signing the Contract, the necessary information for this purpose. In the APP registration process, Payflow will make the APP Terms & Conditions available to Workers (hereinafter, the "T&C"). Once the registration process of a Worker has been completed, the Worker may make Liquidity Requests.

3.1.4. Payment by Payflow of the Liquidity Request

Once the Liquidity Request made by a Worker is received, Payflow will make the payment directly to the Worker, on behalf of the Company, to the bank account provided by the Company, being the same one where the Worker collects his salary month by month. Said transfer is immediate and the approximate term of reception by the Worker is two (2) minutes to the Worker, although in an extreme case, Payflow reserves the right to a maximum term of reception of two (2) working days from the moment in which the Liquidity Request had been correctly issued.

3.1.5. Reimbursement of the Liquidity Request by the Company

The amount of the Liquidity Requests paid by Payflow to the Workers on behalf of the Company under the Contract must be paid by the Company to Payflow on the corresponding day of each calendar month that coincides with the payment by the Company to the Workers. of the salary or the invoice, if applicable, corresponding to said month (hereinafter, the “Settlement Date”). The date of payment to Payflow of the amounts owed will not exceed the 5th day of the calendar month following the month in which the payroll or invoices for which Payflow has provided a Liquidity Request have been accrued.

Payflow will notify the Company of the total amount to be paid, including the Liquidity Requests paid during the calendar month in question. Payflow will make available to the Company, prior to the Settlement Date and in accordance with the provisions of clause 4.3, a Settlement Document that includes the amounts owed by the Company to Payflow.

3.2. Flexible Remuneration Service
3.2.1. Means for the provision of the Flexible Remuneration Service

• Provision of the APP

     o In order to provide the Service, Payflow will make the APP available to Workers so that they can make use of the Benefits.

• Payflow Dashboard

     o In order to provide the Service, Payflow will provide the Company with access to a Control Panel through which the Company will be able to manage the Flexible Remuneration Service. The company may register, at any time, new Workers.

• Cards and electronic money account

     o For the provision of this service, Payflow will provide the Workers with cards (the “Cards”) issued by SWAN, SAS. (hereinafter “Swan”), so that its employees can make use of them to pay for products or services. The Cards will be associated with an electronic money account (hereinafter "Electronic Money Account") owned by Payflow in Swan.

     o In case of loss, theft, or deterioration of the Cards, the Company or the Employee must notify Payflow of this fact in the shortest possible time so that Payflow proceeds to block them. Payflow will not be responsible for the possible charges that could be made on the Cards in this case, if the loss has not been notified.

3.2.2. Operation of the Flexible Remuneration Service

In the event that a Company Employee wishes to register with the Flexible Remuneration Service, they must:

● Download the APP on their mobile;

● Register in the APP providing the data requested by Payflow;

● Complete the Card application form;

● Proceed to the signing of the Contractual Novation agreement between the Employee and the Company;

● Once the Card has been requested, the user can activate their Card and manage other issues related to the use of their card through the "Your Card" section of the APP; and

● Once the Card is activated, the User may use it in accordance with the terms and conditions established in this Contract.

In order for the Workers to be able to register in the APP, the Company or Payflow, as provider of the Service to the Company, will make available to them, immediately after signing the Contract, the necessary information for this purpose. In the APP registration process, Payflow will make the T&C available to the Workers. Once the registration process of a Worker has been completed, the Worker may use the Flexible Remuneration Service.

3.2.3. Amounts available and/or used by the Workers

Payflow will deposit in the Electronic Money Account on behalf of the Company, the amounts (hereinafter “Amounts Available on the Cards”) to support the Flexible Remuneration Service. The Workers, through the Cards, may use/spend said amounts (hereinafter “Amounts Used” or “Amounts Used by Workers”) for/in the purchase of products or services.

Based on the regulations in force at the time this contract is signed (Law 35/2006, of November 28, on Income Tax), the amounts that can be used for each Benefit by Workers have maximum monthly limits, which may be vary as the regulations applicable to this Service are updated.The company will have the ability to configure the flexible compensation service for its employees based on two alternatives:

  1. Employees will not be able to use an amount greater than what they have accrued based on their salary at the time of using the Cards.
  2. Employees will have access from the first day of the month to the maximum flexible compensation amount allowed by current regulations. If the company chooses this configuration, it understands and accepts that there may be cases where the amount used by the employee exceeds what has been accrued to date. In the event of a termination (although in most cases this can be resolved through the final settlement covered by the novation agreement without major issues), the company will be responsible for reimbursing Payflow.

At the end of each month, Payflow will provide the company with information on the amounts used by each employee during that month. This information will also be available in real-time through the control panel.

3.2.4. Refund of Available Amounts on Cards by the Company to Payflow

The Amounts Available on the Cards deposited by Payflow in the Electronic Money Account and Used by the Employees must be deducted from the Employee's payroll, and paid by the Company to Payflow on the day of each calendar month that coincides with the Settlement Date. . The date of payment to Payflow of the amounts owed will not exceed the 5th day of the calendar month following the month in which the payrolls have been accrued from which the Amounts of the Cards used by each Worker must be deducted.

Payflow will notify the Company of the total amount to be paid, including the Amounts Used by the Workers during the calendar month in question. Payflow will make available to the Company, prior to the Settlement Date and in accordance with the provisions of clause 4.3, a Settlement Document that includes the amounts owed by the Company to Payflow.

3.3. Savings Service
3.3.1. Payflow acting as an intermediary

For the provision of this Service, Payflow acts as an intermediary between the Company and the Workers, and an electronic money institution (hereinafter, the "Payment Service Provider"). In particular, Payflow will provide the necessary technology for the Employee's access to the Savings Account.

3.3.2. Means for the Provision of the Service

● Provision of the APP

     ○ In order to provide the Service, Payflow will make the APP available to Workers so that they can register and access the Savings Account Service.

3.3.3. Savings Service Operation

In the event that a Company Employee wishes to access the Savings service, they must:

● Download the APP on your mobile;

● Register in the APP providing the data requested by Payflow; and

● Once the registration process in the APP is complete, request the Opening of the Savings Account directly from Payflow.

In order for the Workers to be able to register in the APP, the Company or Payflow, as provider of the Service to the Company, will make available to them, immediately after signing the Contract, the necessary information for this purpose. In the registration process of the APP, Payflow will make the T&C available to the Workers. Once the registration process of a Worker has been completed, the Worker will be able to access the Savings Service.

Once they have access to the Savings Service, the Employee will be able to choose the savings plan that best suits their needs.

3.3.4. Transfers to Savings Accounts

Depending on the savings plan selected by the Employee, Payflow will make a monthly deposit on behalf of the Company (Transfer to Savings Account) to the Employee's savings account with the proportional amount corresponding to the selected savings plan. Said amount will be deducted from the Employee's payroll at the end of each month.

3.3.5. Reimbursement of Transfers to Savings Accounts by the Company

The amounts for Transfers to Savings Accounts deposited by Payflow in the Savings Account must be paid by the Company to Payflow on the day of each calendar month that coincides with the Settlement Date. The date of payment to Payflow of the amounts owed will not exceed the 5th day of the calendar month following the month in which the payrolls on which Payflow has provided any Transfer to Account have been accrued.

Payflow will notify the Company of the total amount to be paid, including Transfers to Savings Accounts paid during the calendar month in question. Payflow will make available to the Company, prior to the Settlement Date and in accordance with the provisions of clause 4.3, a Settlement Document that includes the amounts owed by the Company to Payflow.

3.4. Financial Education Service

The Financial Education Service (Learnflow) consists of making an interactive platform available for Company employees to learn about tricks and financial habits that will make a difference in their personal finances. This service has no additional cost.

4. LIQUIDATION PERIOD AND DOCUMENT

In order to determine the amounts owed by the Company to Payflow for the provision of the Services, (the “Amount Owed”), which will be made up of the sum of the reimbursements of Liquidity Requests (3.1.5), amounts arranged by the workers in Flexible Remuneration (3.2.4.) and Transfers to Savings Accounts (3.3.5), the following provisions will apply:

4.1. Cutoff date

The Cut-off Date is the day of the month from which Workers will not be able to make Liquidity Requests or have the Flexible Remuneration service because the Company is including incidents that affect payroll generation. The Cutoff Date is chosen by the Company. To modify the Cutoff Date, the Company must notify Payflow at least 48 hours in advance.

4.2. Liquidation Period

The Parties agree that the period for calculating the Amount Owed by the Company to Payflow will be between the Cut-Off Date of the month prior to the current month and the day before the Cut-Off Date of the current calendar month, both inclusive (hereinafter, the “Liquidation Period”). On the Liquidation Date, the Company will reimburse Payflow for the amount of the Liquidity Requests paid during the previous Liquidation Period.

4.3. Settlement Document

After the last day of the Liquidation Period and prior to the Settlement Date, Payflow will send the Company, by electronic means, a breakdown of the advance payments paid to the Workers during said Settlement Period (hereinafter, the "Settlement Document”), so that the Company can make the payment of the amount owed contained in the Settlement Document on the Settlement Date.

5. BILLING AND PAYMENT METHOD

The Company accepts that Payflow sends the invoices corresponding to the services provided in digital format. The form of payment will be through direct debit.

In the event that the Company is part of a group of companies to which Payflow also provides services, Payflow will issue a single invoice or a single invoice per group.

6. SERVICE INCIDENTS

In the event of non-payment by the Company of any Amount Due to Payflow under this Agreement for any reason, Payflow may, after Thirty (30) calendar days have elapsed from the Settlement Date without payment by the Company, directly claim to the Workers, who have made and received a Liquidity Request, the amount owed by the Company for this concept.

To this end, the T&C, which must be expressly accepted by the Worker in the APP registration process, expressly provide that the Worker is a joint guarantor of the Company in the event of non-payment by the latter of the Liquidity Requests made by the Worker and already received, after thirty (30) calendar days from the date of payment of the PAYROLL.

7. NON-PAYMENT AND LATE INTEREST

In the event that the payment to be made by the Company, for reimbursement of Liquidity Requests and the cost of the service, is not made on the date set forth in clauses 3.1.5, 3.2.4 and 4, the Company must pay to Payflow:

• a fixed amount of €200 (two hundred euros) in compensation for the breach of their obligations, and the added administrative procedures that the Payflow team has to carry out. Said amount will be paid together with the following invoice for the provision of the service.

• Late-payment interest in favor of Payflow at the applicable late-payment interest rate of eight percent (8%) per year. Late-payment interest will accrue day by day on overdue amounts, based on a year of three hundred and sixty-five (365) days effectively elapsed, and will be settled and paid for days in arrears from the expiration of the arrears and up to the date in which said default ceases

What is indicated in this Clause cannot be interpreted as a waiver or reduction of the rights that correspond to Payflow as a consequence of non-payment.

8. RESPONSIBILITY

The Company must be liable for damages or losses generated directly or indirectly to Payflow in the framework of the provision of the services established in this Contract, when said losses have been caused as a consequence of fraudulent actions, intentional non-compliance, abandonment, negligence or deceit, on the part of the Company.

Payflow will not be liable to the Company or its Workers for any losses they may suffer in connection with the Services. Specifically, but without setting limits, Payflow will in no way be liable for any loss, damage or harm caused by:

● Any failure in the system or in the services, any impossibility or delay in the fulfillment of the obligations of the Contract, as well as of its respective subcontractors, including the cases of fortuitous event or force majeure and labor and/or fiscal conflicts;

● Any refusal by establishments to use the services therein;

● Any infringement by the Company or the Workers of current regulations, including monetary and labor legislation and tax benefits applicable to services.

In the event that the Company claims Payflow for breach of its obligations under the Contract, and Payflow must respond, it will only do so for direct damages proven in court.

In the event that the Company plans to enter or enter into a bankruptcy situation, it must notify Payflow in writing and reliably one (1) month in advance. In case of not notifying this situation, the administrator(s) of the Company will be responsible for the amounts owed to Payflow with their own assets.

In the case of service provision to corporate groups, holdings, subsidiaries, and/or related companies, the principle of joint and several liability will apply to amounts owed as reimbursements/advances for expenses. This means that if one company within the group or holding fails to make a payment, the other legal entities will be jointly and severally liable for these amounts.

9. CONTRACT PERIOD

9.1. Initial Contract Duration

This Contract will have a duration of one (1) year from the date it is signed, being tacitly extendable for additional annual periods in the event that neither Party notifies the other of its desire not to extend it by written notification to the other Party at least three (3) months prior to the initial expiration date of the Contract or any of its annual extensions (hereinafter, the "Expiration Date").

9.2. Causes of termination of the Contract

In any case, the Parties may terminate the Contract prior to the Expiration Date by written notification to the other Party at least three (3) months in advance, if one of the following causes occurs:

● In case of breach by any of the Parties of the obligations assumed in the Contract. In particular, Payflow may terminate the Contract when the Company fails to fulfill its obligation to pay both the Settlement Documents and the invoices.

● In case of extinction of the legal personality, declaration of bankruptcy or seizure of assets of any of the Parties.

● In the event that the Company is in any of the following situations:

    (i) if it suspends or threatens to suspend the payment of its debts or is unable to pay its debts when due or admit or consider itself unable to pay its debts;

    (ii) if it enters into negotiations with all or any class of its creditors for the purpose of rescheduling any of its debts, or make a proposal or enter into any agreement with any of its creditors for the purpose of a restructuring related to its creditworthiness;

    (iii) if it requests bankruptcy in any of its forms;

    (iv) if it is subject to an event that may result in the appointment of a receiver or insolvency administrator over all or some of its assets;

    (v) if it is subject to a creditor seizing or taking possession of all or a substantial part of its assets;

    (vi) if it has assets at any time that are worth less than the amount of its liabilities;

    (vii) if it suspends or ceases, or threatens to suspend or cease, all or a substantial part of its activities;

    (viii) if it significantly increases your financial risk;

    (ix) if, upon Payflow's request, it fails to comply with its obligations to provide information so that Payflow can comply with its obligation in relation to money laundering and terrorist financing.

    (x) If it is in a situation similar and/or equivalent to the above.

9.3. Causes of renegotiation cost of the service

The Parties agree to renegotiate the cost of the service in the following cases:

• In the case of renewal, either tacit or agreed upon, when there is a variation in the General Consumer Price Index, taking into account the last 12 months immediately preceding the last index published at the time of Payflow's notification to the Company. Said increase will be justified by means of a certification published by the National Institute of Statistics (INE).

• At any time during the term of the Contract, by theSignificant increase in the Company's workforce (significant being understood to mean increases of at least 20%) from the beginning of the provision of the services established in the Contract. In this case, the Parties undertake in good faith to adjust the Cost of the Service in accordance with the changes produced.

10. NATURE OF THE CONTRACT AND INDEPENDENCE OF THE PARTIES

The relations between the Parties that are contemplated in the Contract are those of two independent legal persons, one from the other and from third parties, for which reason none of them, nor their employees, acts or can be interpreted as acting as a representative, agent , representative or factor of the other, nor their acts or omissions may give rise to ties of any kind that bind the other Party against third parties. Likewise, neither the perfection nor the fulfillment of this Contract mean nor can it be interpreted that they mean a relationship of association or of risk and good fortune shared by the Parties.

The nature of this Contract is that of a Contract for the provision of services of an exclusively commercial nature. Therefore, no employment relationship or relationship is derived between the Parties, nor between the Company and the personnel, own or subcontracted, assigned by Payflow to the provision of the Services described in this Agreement.

11. PREVENTION OF MONEY LAUNDERING AND THE FINANCING OF TERRORISM

For the purposes of complying with all due diligence obligations and given the non-face-to-face nature of the business relationship between it and the Workers, Payflow in its capacity as subject subject to the regulations for the prevention of money laundering and the financing of the terrorism, will apply to Workers all the due diligence measures required in Law 10/2010, of April 28, on the prevention of money laundering and terrorist financing.

Payflow may also request all the documentation or information that the Company is required by law. The Company, for its part, agrees to collaborate with Payflow by providing said documentation or information.

12. INTELLECTUAL AND INDUSTRIAL PROPERTY

The Parties agree that the intellectual and industrial property of the logos, trademarks, designs, software, utility models, patents, machinery and other details that they could exchange or of which they could have knowledge is the respective property of each of the Parties and / or of the companies of its business group.

The Contract does not imply the transmission by any title of said intangible elements, which will continue to be the exclusive property and with respect to the Parties during the term of the Contract and at the end thereof; or, where appropriate, of the third party holders thereof.

13. USE OF THE COMPANY LOGO

Payflow is authorized to use the Company's logo in commercial presentations of Payflow for the sole purpose of referencing the Company as a client and in no case may the terms of collaboration with the Company be disclosed. The logo may be used for the simple purpose of referencing the Company as a client, in the same way, in marketing content, social networks and on the website.

The Company logo must be used only in the original colors according to the attached file.

The Company logo cannot be modified and must not be used for uses other than those mentioned above.

The transfer of the logo to third parties is not allowed. At any time, the Company may revoke this consent or modify its conditions.

14. EXCLUSIVENESS

The Company must maintain the exclusivity condition with Payflow during the term of the Agreement for the services described therein. Said exclusivity will not be applicable in the event that the Company acquires control of a third company, and this becomes part of its group of companies for the purposes of article 42 of the Commercial Code and this company has a Contract with a different supplier to Payflow. Said exception will apply until the end of the initial duration of the referred Contract with the provider (without being able to extend it to successive extensions, if applicable).

15. PERSONAL DATA PROTECTION

Within the framework of the provision of the service, Payflow has to process Company data. For which and hereinafter, the Company and Payflow will be referred to, respectively, as "Responsible for the Treatment" and "In Charge of the Treatment".

The Parties undertake to comply with any general or particular obligations derived from Regulation (EU) 2016/679 of April 27, 2016 (hereinafter, the "GDPR") and Organic Law 3/2018, of December 5, Protection of Personal Data and guarantee of digital rights (hereinafter together, the "Data Protection Regulations").

15.1. The description of the treatment to be carried out by the Treatment Manager is the following:

● Nature and purpose of the treatment: access, consultation, comparison, analysis, anonymization, registration in the APP.

● Categories of interested parties: Employees of the company.

● Categories of Personal Data:

     ○ Identifiers: name, surname, email, mobile, NIE or DNI and current bank account of the Company's Workers.

     ○ Economic and salary data: net and/or gross salary to be received, number of payments per year, type of Contract (full or part-time), duration of the Contract and other characteristics of the payroll of the Company's Workers.

15.2. The Treatment Manager undertakes to:

● Process Personal Data in accordance with the documented instructions of the Data Controller (which may be specific or general), or with what is periodically notified by the Data Controller directly and solely and exclusively for the purpose of providing the services.

● Immediately inform the Treatment Manager if the Treatment Manager considers that the instructions of the Treatment Manager violate the Data Protection Regulations or any other data protection provision of the Union or of the Member States.

● Attend or collaborate in the attention to the requests of rights exercised by the interested parties, in accordance with the provisions of the Data Protection Regulations.

● Assist the Treatment Manager, taking into account the nature of the treatment:

     ○ So that the Data Controller can comply with its obligation to respond to requests that have as their object the exercise of the rights of the interested parties;

     ○ Assisting in the fulfillment of the obligations established in articles 32 to 36 of the GDPR, taking into account the nature of the treatment and the information made available to the Treatment Manager; and

     ○ Making available to the Treatment Manager all the information requested to demonstrate compliance with the obligations established in article 28 of the GDPR in relation to the Treatment Manager and, where appropriate, sub-processors.

● The Processor is allowed to use the following sub-processors for the provision of services:

     o Swan, SIMPLIFIED SHARE COMPANY, with NIF FR90853827103, and registered office in Montreuil (France), 95 Avenue du Président Wilson, 93100. Company better known as Swan (https://www.swan.io/).

     o Devengo, SOCIEDAD LIMITADA, with NIF B88353412, and registered office in Madrid, Calle Barquillo 40, 1º right, 28004. Company better known as Devengo (https://devengo.com/)

     o Unnax Payment Systems,LIMITED COMPANY, with NIF nº B66353913 and registered office in Barcelona, Plaza Europa nº 22-24, 4º, Module 2, Hospitalet De Llobregrat, 08902. Company better known as Unnax (https://www.unnax.com/).

     o Amazon Web Services EMEA SARL, SUCURSAL EN ESPAÑA, with NIF nº ESW0185696B and registered office in Madrid, Calle Ramírez de Prado, 5, 28045. Company better known as Amazon Web Services (https://aws.amazon.com/es/).

● Sign a treatment contract with each of its sub-processors with the obligations in terms of data treatment and protection equivalent to those established in the Contract and that includes the appropriate security measures. The Treatment Manager declares that the sub-processors offer sufficient guarantees to apply appropriate technical and organizational measures, so that the treatment they potentially carry out is in accordance with the requirements demanded by the applicable Data Protection Regulations and guarantees the protection of the rights of the interested party. .

● Guarantee that the personnel or their collaborators authorized to process Personal Data have agreed to respect confidentiality. The Treatment Manager guarantees the necessary training of the personnel who access the Personal Data regarding the protection of Personal Data.

● Once the provision of services ends, the Treatment Manager will delete or return all Personal Data to the Treatment Manager. However, he may keep the data and information processed, duly blocked, in the event that responsibilities could arise from his relationship with the Company. After the limitation period of the actions that motivated the conservation of data, he must proceed to its complete destruction.

● Allow the Data Controller and their respective auditors or authorized agents to carry out audits throughout the duration of the Contract, notifying the Data Processor at least seven (7) days in advance.

● In case of suspicion of a security breach, the Data Controller:

     ○ It will take measures immediately, in order to investigate the possible breach of security and to identify, prevent, mitigate and, where appropriate, remedy its effects;

     ○ It will immediately notify the Data Controller, and provide it with a detailed description of the security breach, which will include:

           ■ The potential impact of the security breach;

           ■ The categories and approximate number of affected stakeholders;

           ■ The risk that has caused the breach of security to those affected; and

           ■ The measures proposed by the Treatment Manager to remedy it.

● The Data Processor will provide regular updates and will not disclose or publish any communication, notice, press release or report related to a security breach without the prior written authorization of the Data Controller (except where required to do so). in accordance with the provisions of a Law).

● The Data Processor undertakes to implement and maintain appropriate measures to protect Personal Data against unauthorized or unlawful processing, and against accidental or unlawful loss, destruction, alteration, damage or theft.

● The Data Processor will not process Personal Data outside the European Economic Area or in any country in respect of which the European Commission has not guaranteed an adequate level of protection without the written authorization of the Data Controller and without having complied with the requirements established on GDPR to make international transfers.

16. CONFIDENTIALITY

The Parties undertake to maintain strict confidentiality regarding the terms and conditions of the Contract, as well as any other information exchanged between the Parties in relation to it and any information related to it to which they may have access, obliging the Parties not to disclose said terms and conditions to any third party, except as required in legal proceedings or in the legally established cases, in which case the Parties also mutually agree to notify such circumstance.

In the event that any of the Parties does not comply with the confidentiality obligation established herein, the aggrieved Party reserves the right to terminate the Contract, without prejudice to its right to claim any damages and losses in accordance with the provisions of current legislation.

This duty of confidentiality will remain in force during the term of the Contract and, even after, indefinitely in time.

17. COMMUNICATIONS

Any notification that must be sent will be delivered personally or sent by any written or telematic means that can guarantee the reliability and receipt of the notification made.

A notice shall be deemed given as follows:

● In the case of personal delivery, at the time of delivery; either

● In the case of an email, at the time of issuance.

For these purposes, it will be sufficient to demonstrate that the personal delivery was made or that the fax or email was duly addressed and sent correctly, as the case may be.

18. PARTIAL DISABILITY

Any term or provision of the Contract considered illegal, void or ineffective, in whole or in part, shall be deemed not to have been established and shall not affect the full force and effectiveness of the remaining terms and provisions, which shall maintain their full force and effectiveness.

19. ASSIGNMENT

Company may not assign its rights and obligations under the Agreement without Payflow's prior written consent.

Notwithstanding the provisions of the previous clause, Payflow may assign the rights and obligations resulting from the Contract without the prior consent of the other Party when the beneficiary of the assignment is a company of its group, understanding a group under the terms of article 42 of the Commercial Code.

20. MODIFICATION

These General Conditions may be reviewed by Payflow unilaterally.

21. SOLE AGREEMENT

The Contract constitutes and reflects a single agreement reached between the Parties in relation to its object, and renders null and void any prior contract, agreement or commitment between the Parties.

22. APPLICABLE LAW

This Contract will be governed and interpreted in accordance with Spanish law.

23. JURISDICTION

Each of the Parties to this Contract irrevocably submits, expressly waiving any jurisdiction that may correspond to it, to the jurisdiction of the Courts and Tribunals of Madrid capital to settle any issues that may arise from the interpretation, compliance, resolution and execution of this Contract.

La presente política de privacidad (la “Política de Privacidad”), tiene por finalidad informar, de manera clara y precisa, a los usuarios (los “Usuarios”) del sitio web alojado bajo el nombre de dominio payflow.es (el “Sitio Web”) sobre el tratamiento de los datos de carácter personal recabados por PAYFLOW DIGITAL, S.L. (en adelante, “PAYFLOW”) a través del referido Sitio Web.

Datos necesarios para determinados tratamientos
La entrega de los datos solicitados en los formularios para las empresas o futuros empleados que se ofrecen en el Sitio Web es voluntaria para los Usuarios, si bien no proporcionar determinados datos puede provocar la imposibilidad de acceso a determinados servicios prestados por PAYFLOW.

Los Usuarios responderán, en cualquier caso, de la veracidad, exactitud, vigencia y autenticidad de los datos personales facilitados, reservándose PAYFLOW, el derecho a excluir de los servicios registrados a los Usuarios que hayan facilitado datos falsos, sin prejuicio de las demás acciones que procedan en Derecho.Información que se recopila de los Usuarios
PAYFLOW trata los siguientes datos personales de los Usuarios:

Datos identificativos, por ejemplo, nombre y apellidos. Datos de contacto, como pueden ser la dirección de e-mail, la dirección postal, o el número de teléfono.

Asimismo, PAYFLOW recoge y almacena datos obtenidos a través del Sitio Web mediante la utilización de herramientas como las denominadas cookies que obtienen información de la navegación del Usuario.
Finalidades y bases jurídicas del tratamiento
PAYFLOW quiere tratar todos los datos recibidos de forma lícita y para ello debe sustentar el tratamiento de tus datos en una base jurídica suficiente. De acuerdo con lo anterior, PAYFLOW trata estos datos del Usuario para la gestión de las solicitudes presentadas por estos mediante los formularios para futuros empleados y empresas que quieran trabajar con PAYFLOW. Este tratamiento de datos es necesario para la ejecución de la relación contractual entre PAYFLOW y el Usuario y de las posibles medidas de carácter precontractual solicitadas por el Usuario.

En lo relativo a la información obtenida mediante cookies y dispositivos o mecanismos similares, tales como pixels o fragmentos de código, que permitan el almacenamiento y recuperación de datos, la base legal estará configurada por el consentimiento tal y como queda definido por la normativa de aplicación y las guías orientativas emitidas por la Agencia Española de Protección de Datos en la fecha en la que se ha elaborado la presente Política de Privacidad, así como y con la finalidad de asegurar el funcionamiento correcto de las funcionalidades del Sitio Web que se corresponde con el interés legítimo de PAYFLOW.
Consentimiento de los Usuarios
Mediante la aceptación del Aviso Legal, de la política de cookies y de la presente Política de Privacidad, el Usuario reconoce haber leído y entendido las condiciones de uso y los términos legales establecidos en la presente Política de Privacidad, y acepta de forma expresa e inequívoca la aplicación de las mismas al uso que realice del Sitio Web durante su navegación y la prestación de los correspondientes servicios.

Los Usuarios se declaran expresamente informados y autorizan a PAYFLOW para recabar y tratar sus datos para las finalidades indicadas en la presente Política de Privacidad.

Los Usuarios deberán notificar a PAYFLOW cualesquiera modificaciones que se produzcan en los datos facilitados respondiendo, en cualquier caso, de la veracidad y exactitud de los datos suministrados en cada momento. PAYFLOW se reserva, en su caso y sin perjuicio de otras acciones que pudieran corresponderle, el derecho a no prestar los servicios o a dar de baja a aquellos Usuarios que faciliten datos falsos o incompletos, o compartan fotografías no admitidos conforme el derecho o la moral. Lo anterior no implica, en ningún caso, la asunción por PAYFLOW de responsabilidad alguna por los daños o perjuicios que pudieran derivarse de la falsedad o inexactitud de los datos suministrados, de las que responderá únicamente el Usuario.Comunicación de datos y transferencias internacionales
Los datos personales recogidos a través del Sitio Web no serán cedidos a ningún tercero para ser utilizados para sus propios fines distintos aquellos para los que el Usuario ha consentido su tratamiento.

No obstante, podrán acceder a los datos de carácter personal de los Usuarios el personal autorizado de PAYFLOW y otros terceros o colaboradores que presten servicios a favor de PAYFLOW, con la finalidad de gestionar la prestación de los servicios, la relación contractual y/o precontractual con los Usuarios o tramitar solicitudes formuladas por los Usuarios. En estos casos en que se permita el acceso a otras compañías colaboradoras, dicho acceso a datos por cuenta de terceros será regulado en el correspondiente contrato, tal y como se exige en la normativa vigente.

PAYFLOW también podrá revelar los datos personales recabados en los casos concretos en que dicha cesión se encuentre establecida y sea exigible por la normativa aplicable; o cuando así lo exijan las autoridades competentes.
Plazos de conservación
PAYFLOW almacena los datos personales de los Usuarios en la medida en que se necesiten a fin de poder utilizar los datos según la finalidad para la que fue recabada, y según la base jurídica del tratamiento de la misma. PAYFLOW mantendrá los datos personales del Usuario mientras exista una relación contractual y/o comercial con el Usuario y mientras éste no ejerza los derechos de oposición y/o supresión del tratamiento de los datos personales.

En estos casos PAYFLOW mantendrá los datos debidamente bloqueados, sin darle ningún uso, mientras puedan ser necesarios para el ejercicio o defensa de reclamaciones o pueda derivarse algún tipo de responsabilidad judicial, legal o contractual de su tratamiento, que deba ser atendida y para lo cual sea necesaria su recuperación.
Derechos de los Usuarios
En cualquier momento, y/o cuando así lo considere conveniente, los Usuarios podrán hacer uso de sus derechos de Acceso, Rectificación, Cancelación, Oposición, Portabilidad y Olvido escribiendo al correo electrónico de contacto: hola@payflow.es; adjuntando copia del pasaporte o DNI (titular de los datos) e indicando en el asunto de manera expresa la petición que desea realizar:

Acceso: A través del ejercicio de este derecho puede conocer qué datos de carácter personal suyos están siendo tratados por parte de PAYFLOW; su finalidad, el origen o su posible transferencia a terceros.

Rectificación: Consiste en que pueda modificar sus datos de carácter personal que sean inexactos o incompletos, debiendo especificar en la solicitud qué datos desea que se modifiquen.

Cancelación: Permite la cancelación de sus datos personales por inadecuados o excesivos.

Oposición: Con el derecho de oposición puede oponerse a que no se realice el tratamiento en unos determinados supuestos o para una finalidad concreta, como por ejemplo en el hipotético caso de que sus datos se usasen para actividades de publicidad y prospección comercial o si el tratamiento tuviese la finalidad de adoptar una decisión referida a usted basada únicamente en un tratamiento automatizado de sus datos personales.

Portabilidad: Podrás recibir sus datos personales facilitados en un formato estructurado, de uso común y lectura mecánica, y poder transmitirlos a otro responsable, siempre que sea técnicamente posible.

Olvido: Podrá solicitar la supresión de los datos personales sin dilación debida cuando concurra alguno de los supuestos contemplados. Por ejemplo, tratamiento ilícito de datos, o cuando haya desaparecido la finalidad que motivó el tratamiento o recogida.

Asimismo, ha implantado medidas técnicas y organizativas adecuadas, acordes al tipo de datos recabados, para garantizar la seguridad de sus datos personales y evitar su destrucción, pérdida, acceso ilícito o alteración ilícita.
